By accessing this website or purchasing products from Allen Precision Equipment ES LLC (“APE,” “we,” “our,” or “us”), you agree to the following Terms and Conditions. Please review them carefully before placing an order.

Product Information & Pricing

APE makes reasonable efforts to ensure that product descriptions, specifications, images, availability, and pricing are accurate. However, we do not guarantee that all content is error-free, complete, or current. In the event of a pricing error, typographical mistake, or incorrect product information, we reserve the right to cancel or refuse any order at our discretion. If your order is canceled due to such an error, any payment collected will be refunded. If a product you receive materially differs from its description, your exclusive remedy is to return the item in unused condition in accordance with our Return Policy.

Order Acceptance & Payment Terms

All orders are subject to acceptance by APE. Submission of an order does not guarantee fulfillment. Payment is due at the time of purchase unless otherwise agreed in writing. We reserve the right to refuse or cancel orders for suspected fraud, payment disputes, product availability issues, or any other lawful reason. In the case of unpaid invoices or approved net terms, payment is due within the timeframe specified on the invoice. Late balances may accrue interest at a rate of up to 10% of the outstanding balance, and we reserve the right to suspend future shipments or services until payment is received. If collection efforts become necessary, the customer agrees to be responsible for reasonable collection costs, legal fees, and recovery expenses.

A 3% credit card processing fee applies to all credit card transactions and is non-refundable under any circumstances, including cancellations, returns, exchanges, or order adjustments.

Return Policy

Return requests must be submitted within 30 days of delivery. Items must be returned in new, unused, and resalable condition with original packaging and all included components. Consumable items, opened blister-pack products, and special-order merchandise (including custom configurations or non-standard products) are not eligible for return.

Returns that are fully or partially assembled, damaged by misuse, or not in resalable condition may be rejected. Approved non-defective returns are subject to a 20% restocking fee and original shipping charges are non-refundable. If a customer places a replacement order of equal or greater value within 10 business days of submitting a return request, the restocking fee may be waived. Unauthorized returns will not be refunded. Shipments refused without authorization may incur restocking and return freight charges. Orders delivered to freight forwarders are not eligible for return.

After 30 days from delivery, products are no longer eligible for return through APE and may be subject to manufacturer warranty terms.

Inspection of Shipments & Damage Claims

Customers must inspect shipments immediately upon receipt. Any visible damage should be noted with the carrier at delivery. Claims for damaged or defective merchandise must be reported promptly, and photographic documentation may be required. Replacement items are subject to inspection and manufacturer verification before shipment.

Failure to report damage within a reasonable timeframe may result in denial of claim.

Commercial Equipment & Industry Tolerances

Due to the nature of commercial-grade equipment and freight handling, minor cosmetic imperfections that do not impact structural integrity or functional performance may occur. Surface-level blemishes, minor scuffs, or finish variations consistent with industry standards do not constitute defects and are not grounds for refund or replacement. Substantial structural damage must be reported promptly as outlined above.

Warranty Disclaimer

Except as expressly provided by the manufacturer, all products are sold “as is” and “as available.” To the fullest extent permitted by law, APE disclaims all implied warranties, including but not limited to warranties of merchantability and fitness for a particular purpose.

Manufacturer warranties, if applicable, are governed solely by the manufacturer’s terms.

Limitation of Liability

To the maximum extent permitted by law, APE shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use of this website or any product purchased. Total liability for any claim shall not exceed the amount paid for the product giving rise to the claim.

Certain jurisdictions may not allow certain limitations; in such cases, limitations apply to the fullest extent permitted by law.

Call Recording & Monitoring

Telephone calls to and from APE may be recorded or monitored for quality assurance, training, documentation, compliance, and dispute resolution purposes. By placing or continuing a call with APE, you consent to such recording to the extent permitted by applicable federal and state laws. If you do not consent, you should discontinue the call and communicate in writing.

Intellectual Property

All content on this website, including text, graphics, logos, images, digital downloads, data compilations, and software, is the property of Allen Precision Equipment ES LLC or its content suppliers and is protected by United States and international copyright laws. Unauthorized reproduction, distribution, or commercial use is prohibited.

Indemnification

By purchasing from APE, you agree to indemnify, defend, and hold harmless Allen Precision Equipment ES LLC from any claims, damages, losses, liabilities, and expenses (including attorneys’ fees) arising from misuse of products, violation of these Terms, fraudulent activity, unauthorized chargebacks, or violation of applicable laws.

Arbitration & Waiver of Class Actions

By accessing this website or completing a purchase, you voluntarily choose to transact with Allen Precision Equipment ES LLC. You are under no obligation to purchase from us. Any dispute arising from your use of this website or purchase of products shall be resolved exclusively through binding individual arbitration. You waive the right to participate in any class action, collective action, or representative proceeding against APE.

All disputes shall be brought on an individual basis only.

Governing Law & Venue

These Terms and Conditions are governed exclusively by the laws of the Commonwealth of Virginia. Any arbitration or legal proceeding shall occur in Lynchburg, Virginia.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

Modifications

APE reserves the right to update or modify these Terms and Conditions at any time without prior notice. Continued use of the website constitutes acceptance of any revised Terms.
